On 28 September 2009, ProLogis European Properties (‘PEPR’) postponed the Extraordinary General Meeting ('EGM'), called for on 30 September 2009, and will instead spend more time with investors prior to reviewing alternative capital raising plans with the PEPR Board.

On 7 September 2009, PEPR called two general meetings of its investors to propose a conversion of PEPR’s legal structure from a fonds commun de placement into a société d’investissement à capital fixe incorporated as a société en commandite par actions (‘SICAF-SCA’).
The first general meeting will be held on Wednesday 30 September 2009 at 9:00am CET at the offices of Arendt & Medernach, 14 rue Erasme, L-2082, Luxembourg. The second general meeting will be held on the same day at 10:00am CET in the same location.

These documents are intended to provide investors with sufficient information to participate in the general meetings of PEPR in relation to the proposed conversion.
All investors on PEPR’s register as at 28 September 2009 will be able to vote at the meetings following the completion of either a proxy form or an attendance form.
The PEPR Board and management company recommend that PEPR investors complete the proxy form to vote in favour of each of the resolutions at the general meetings, which the PEPR Board and management company consider to be in the best interests of investors as a whole, and as they intend to do in respect of their own beneficial unitholdings.
Furthermore, assuming the first two meetings are successful, PEPR intends to convene a third general meeting on 16 October 2009 at 9:00am CET. This third general meeting, if called, will be held at the offices of Arendt & Medernach, 14 rue Erasme, L-2082, Luxembourg in order to declare the completion of the conversion to a SICAF-SCA.
